1. Acceptance of Terms

Storebase (the "Service," including our web application, mobile applications, and related services) is operated by Trij Holdings, LLC, a limited liability company formed under the laws of the State of Delaware, USA ("Company," "we," "us," "our").

By accessing, registering for, or using the Service, you agree to these Terms of Use ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and the Company.

2. End User License Agreement (EULA)

2.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service, solely for your internal business purposes. Where you use our mobile application on Apple-branded devices, such use is also subject to the Apple Media Services Terms and Conditions.

2.2 Restrictions

You may not:

Copy, modify, distribute, or create derivative works of the Service
Reverse engineer, decompile, or disassemble the Service
Rent, lease, lend, sell, or sublicense the Service
Remove any proprietary notices or labels
Use the Service for any unlawful or unauthorized purpose

2.3 Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, and logos — are owned exclusively by the Company and protected by applicable intellectual property laws. No ownership rights are transferred to you under these Terms.

3. Eligibility

You must be at least 18 years old to use Storebase. By using the Service, you represent that you meet this requirement.

4. Description of Service

Storebase provides business management tools including:

Financial management: transactions, invoices, cash flow tracking
Inventory management: purchase orders, stock tracking
HR management: employee records, schedules, attendance, payroll

We reserve the right to modify, suspend, or discontinue any feature at any time. We are not liable to you or any third party for any modification, suspension, or discontinuation of service.

5. User Accounts & Responsibilities

You are solely responsible for maintaining the confidentiality of your login credentials
You are responsible for all activity that occurs under your account
You must notify us immediately at admin@storebase.tech of any unauthorized access or security breach
We are not liable for any loss or damage arising from your failure to maintain account security
We reserve the right to terminate accounts that violate these Terms

6. Subscriptions & Payments

Storebase offers auto-renewable subscriptions, processed through third-party payment providers including Stripe (web) and the Apple App Store / RevenueCat (mobile), depending on how you subscribe
Payment is charged to your selected payment method upon purchase confirmation
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
For Apple App Store subscriptions, you can manage or cancel anytime in your Apple ID Account Settings at Settings → [your name] → Subscriptions. For subscriptions purchased via Stripe, you may cancel through the Service or by contacting us
No refunds will be issued for unused portions of a subscription period, except where required by applicable law
We reserve the right to change subscription pricing with reasonable advance notice

7. Acceptable Use

You agree not to use Storebase to:

Violate any applicable local, national, or international law or regulation
Submit false, misleading, or fraudulent business data
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the Service's infrastructure or servers
Upload malicious code, viruses, or harmful content
Impersonate any person or entity

We reserve the right to investigate and take appropriate legal action against anyone who violates this section.

8. Business Data & User Content

You retain full ownership of all business data you enter into Storebase
By using the Service, you grant us a limited license to store and process your data solely to provide the Service
You are solely responsible for the accuracy and legality of all data you enter
We are not responsible for any errors, losses, or damages resulting from inaccurate data entry
Upon account deletion, your personal identifiers are immediately anonymized or removed; de-identified business records may be retained only where required by law and are purged after the applicable statutory retention period

8.1 Third-Party and Employee Data

If you enter personal information about your employees, staff, customers, or other third parties (including names, salaries, bank account details, attendance records, or contact information), you act as the data controller for that information, and the Company acts solely as a data processor that stores and processes it on your behalf and under your instructions.

You represent and warrant that you have obtained all necessary consents and provided all legally required notices to those individuals. You are solely responsible for complying with all applicable labor, tax, and data-protection laws in your jurisdiction. You agree to indemnify and hold the Company harmless from any claim arising out of third-party or employee data you enter into the Service.

9. Privacy

Your use of Storebase is governed by our Privacy Policy:

We do NOT sell your personal information
Data is stored on encrypted Supabase servers in Singapore, and certain service providers process data in the United States. By using the Service you consent to these international data transfers
You may request data access, correction, or deletion at any time

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING:

Implied warranties of merchantability and fitness for a particular purpose
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy or reliability of any information in the Service

You assume full responsibility for your use of the Service and any business decisions made based on data within the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

We are not liable for any indirect, incidental, special, consequential, or punitive damages
We are not liable for loss of profits, business data, goodwill, or business interruption
We are not liable for any damages resulting from unauthorized access to your account
We are not liable for any errors or omissions in business data entered by users
Our total cumulative liability to you shall not exceed the total amount you paid to us in the three (3) months preceding the claim

Nothing in these Terms limits liability that cannot be excluded under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights
Any data you submit through the Service

14. Apple-Specific Provisions

The following provisions apply only where you access the Service through our iOS application distributed via the Apple App Store:

This agreement is between you and the Company only — not with Apple Inc.
Apple has no obligation to provide maintenance or support for the Service
Apple is not responsible for any product liability claims
Apple is not responsible for any failure to conform to legal or regulatory requirements
In the event of any third-party intellectual property claim, Apple is not responsible for investigation or defense
Apple and its subsidiaries are third-party beneficiaries of these Terms

15. Limitation of Claims

Any claim arising from your use of the Service must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Updating the "Last Updated" date above
Displaying a notice within the Service

Continued use of the Service after changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

18. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any disputes shall first be attempted to be resolved through good-faith negotiation by contacting us at admin@storebase.tech.

If a dispute cannot be resolved informally, it shall be submitted to the state or federal courts located in the State of Delaware, USA, and you consent to their jurisdiction. To the extent permitted by law, you waive any right to participate in a class-action lawsuit against the Company.

Consumer rights reservation: Nothing in this section deprives you of the protection of any mandatory consumer-protection laws of your country of residence. If you are a consumer resident in a jurisdiction (such as the Republic of Korea) whose laws grant you mandatory rights or a mandatory forum, those rights and that forum continue to apply and prevail to the extent they cannot be waived by contract.
